Welcome to Neylyzer. These Terms of Service ("Terms") govern your access to and use of the Neylyzer mobile application, website, backend services, APIs, and any related software or services (collectively, the "Service"). The Service is operated by Neylyzer ("we," "us," or “our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. 

 

If you do not agree to these Terms, you may not use the Service.

 

1. Description of the Service

Neylyzer is a financial research and community platform focused on company fundamentals and honing a long-term mindset. The Service provides access to historical financial data for US public companies, earnings call audio and transcripts, and AI-powered research tools that allow users to query financial information, web sources, and user-uploaded documents. Additionally, the Service includes social networking features that enable users to share research threads, post insights, comment, follow other users, and communicate via direct messaging.

 

 

2. Eligibility and Accounts

 

You must be at least 16 years of age to use the Service. By creating an account, you represent that you meet this requirement and that all registration information you provide is accurate and complete.

 

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. We reserve the right to disable any account if we suspect a security breach or violation of these Terms.
 

 

3. NO FINANCIAL, INVESTMENT, OR LEGAL ADVICE

 

Neylyzer is strictly an informational and educational platform. We are not a registered broker-dealer, investment adviser, tax advisor, or fiduciary. Nothing contained in the Service—including AI-generated threads, financial metrics, earnings estimates, user posts, or trending questions—constitutes a recommendation, endorsement, or solicitation to buy, sell, or hold any security, financial product, or instrument, or to engage in any specific investment strategy.

 

You are solely responsible for your own investment decisions. You should conduct your own independent research and consult with a qualified financial advisor before making any financial decisions. Users and creators on the platform may hold positions in the securities they discuss, and Neylyzer does not verify the accuracy or intent of user-generated content.

 

4. AI-Generated Content and Financial Data Disclaimer

 

The Service utilizes artificial intelligence (including third-party Large Language Models) to process user queries, summarize earnings call transcripts, and analyze financial data.

 

• AI Limitations: AI-generated responses ("Threads") may contain errors, omissions, or "hallucinations." You must independently verify any AI-generated data against official sources before relying on it.
• Sources Expiration: To ensure data freshness and comply with third-party provider policies, web links included as citations in AI-generated responses automatically expire after 30 days. We are not responsible for 404 errors, broken links, or the unavailability of source materials in older threads.
• Third-Party Data: Market data, company metrics, ownership records, and earnings calendars are provided by third-party APIs. We do not guarantee the timeliness, completeness, or accuracy of this data.
• No Liability: We expressly disclaim any liability for financial losses or damages incurred as a result of relying on AI-generated insights or aggregated financial data provided through the Service.
• Third-Party Links: The Service may contain links to third-party websites, news articles, or services that are not owned or controlled by Neylyzer. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services

 

5. Paid Subscriptions and Billing

 

Neylyzer offers free and premium subscription tiers (e.g., Pro, Pro+). Premium tiers provide enhanced features, such as increased limits on AI Threads and saved favorite companies.

 

• In-App Purchases: Subscriptions are processed through third-party platforms (Apple App Store or Google Play Store). Your use of these payment methods is subject to the terms and conditions of the respective app store.
• Auto-Renewal: Subscriptions automatically renew at the end of each billing cycle (monthly or yearly) unless canceled at least 24 hours before the renewal date.
• Cancellations and Refunds: You may cancel your subscription at any time through your device's account settings. Cancellations take effect at the end of the current billing period. All fees paid are non-refundable, except where required by applicable law.
• Usage Limits: Your subscription tier dictates your usage limits (e.g., monthly AI thread limits). Unused limits do not roll over to the next billing cycle.
• Fair Use Policy: Plans marketed as offering "unlimited" usage are subject to reasonable fair-use limits designed to prevent automated abuse, bot-driven usage, and commercial-scale resale of our AI capabilities. Fair-use thresholds are set at levels that far exceed typical human usage and will not affect ordinary users. We reserve the right to throttle, rate-limit, or suspend accounts that exceed these thresholds or exhibit automated, non-human access patterns.

 

Neylyzer reserves the right to modify subscription pricing with reasonable advance notice.

 

6. Acceptable Use and User Conduct

 

Neylyzer includes social features such as posts, comments, upvotes/downvotes, and direct messaging. 

 

You strictly agree not to:

 

• Post or transmit unlawful, harassing, defamatory, abusive, or threatening content.
• Engage in market manipulation, pump-and-dump schemes, or spread false/misleading information about securities.
• Impersonate any person or entity, or falsely state your affiliation with a person or entity.
• Use automated scripts, bots, scrapers, or unauthorized APIs to extract, redistribute, or monetize financial data, transcripts, or user content from the Service.
• Share sensitive personal data, including financial account numbers or payment information.
• Circumvent any usage limits, security features, or paywalls.
• Send unsolicited promotional content, spam, or unauthorized advertisements via direct messages or social feeds.

 

Zero Tolerance for Objectionable Content: We have a zero-tolerance policy for objectionable content and abusive users. We reserve the right to monitor, review, flag, or remove any content or account at our sole discretion, without prior notice, for any violation of these Terms.

 

Reporting and Blocking: Users can report objectionable content or abusive users directly within the app. We will review all reports within 24 hours and take appropriate action, which may include removing the offending content and permanently ejecting the user who provided it. Users also have the ability to block other users to prevent further interaction.

 

 

7. User Content and License

 

You retain ownership of the content you submit to the Service, including posts, comments, feedback, and AI queries ("User Content”).

 

By submitting User Content, you grant Neylyzer a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with operating, promoting, and improving the Service.

This includes the right to use your queries to generate "Trending Questions" for the community.

 

Direct messages are private between users, but Neylyzer reserves the right to review them if reported for abuse, harassment, or violation of these Terms, or if required by law.

 

8. Intellectual Property

 

All rights, title, and interest in and to the Service—including its software, backend architecture, algorithms, UI/UX design, logos, and trademarks—are the exclusive property of Neylyzer and its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use.

 

Feedback: If you provide us with any feedback, suggestions, or ideas regarding the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use, modify, and exploit that feedback without restriction or compensation to you.

 

9. Disclaimer of Warranties

 

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, NEYLYZER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

 

10. Limitation of Liability

 

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NEYLYZER, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; AND (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNT YOU PAID US IN THE PAST TWELVE MONTHS FOR THE SERVICE.

Jurisdictional Limitations: Some jurisdictions, including Australia and certain provinces in Canada, do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you. Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law or applicable Canadian consumer protection laws that cannot be lawfully excluded.

 

11. Indemnification

 

You agree to defend, indemnify, and hold harmless Neylyzer and its affiliates, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, your User Content, or your violation of these Terms.

 

12. Suspension and Termination

 

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation a breach of the Terms. Upon termination, your right to use the Service will immediately cease.

 

13. Dispute Resolution and Arbitration

 

Please read this section carefully, as it affects your legal rights. Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, shall be determined by binding arbitration rather than in court.

 

Class Action Waiver: You and Neylyzer agree that any proceedings to resolve or litigate any dispute will be conducted solely on an individual basis and not in a class, consolidated, or representative action.

 

YOU AND NEYLYZER WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE PROCEEDING. Arbitration will be conducted in accordance with the rules of the American Arbitration Association (AAA).

 

• Informal Resolution: Before filing a claim, you agree to try to resolve the dispute informally by contacting support@neylyzer.com. We will try to resolve the dispute informally within 30 days.
• Opt-Out Right: You have the right to opt out of this arbitration agreement by sending written notice of your decision to opt out to support@neylyzer.com within 30 days of first registering your account. If you opt out, the rest of these Terms will still apply.

 

14. Copyright Complaints (DMCA)

 

We respect the intellectual property rights of others. If you believe your copyrighted work has been infringed upon on the Service, please send a notice to support@neylyzer.com with:

 

(a) your physical or electronic signature;
(b) identification of the copyrighted work you claim has been infringed;
(c) identification of the infringing material and where it is located on the Service;
(d) your contact information; and
(e) a statement under penalty of perjury that you are authorized to act on behalf of the copyright owner and have a good-faith belief that the material is not authorized.

 

 

15. Changes to Terms

 

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

 

16. Miscellaneous

 

• Governing Law: These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Neylyzer is headquartered, without regard to its conflict of law provisions.
• Severability: If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
• Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between us regarding our Service, superseding any prior agreements.
